Terms and Conditions
Version 1.0 · Effective date: 9 September 2026
These Terms and Conditions ("Terms") are a legally binding agreement between you ("you", "your", the "Customer") and TailorBoss, Bengaluru, Karnataka, India ("TailorBoss", "we", "us", "our") governing your use of the TailorBoss service — our business management software for boutiques and tailoring shops available at tailorboss.com, app.tailorboss.com, and through the TailorBoss Android application (the "Service"). By registering for or using the Service, you accept these Terms. If you do not agree, do not use the Service.
1. Eligibility and account
- You must be at least 18 years old and using the Service for business purposes.
- You must provide accurate, current registration information and keep it updated.
- Account security and incident notification. You are solely responsible for maintaining the confidentiality of your login credentials, passwords, and staff access permissions, and for all activity under your account. If you suspect any unauthorised access to your account, a password leak, or a data security incident within your shop's account, you must notify us immediately in writing at support@tailorboss.com. We are not liable for unauthorised data access or losses caused by weak passwords, shared credentials, or compromised user devices.
- If you add staff users, you control their access through roles and permissions in the app, and you are responsible for their use of the Service.
2. The Service and plans
- The Service provides tools for managing customers, measurements, appointments, quotations, orders, invoicing, payments, purchases, expenses, stock, workshop jobs, staff, attendance, leave, payroll, piece-work records, and reports.
- Features and limits (such as the maximum number of staff) depend on your subscription plan, as described on our pricing page. We may decline actions that exceed your plan's limits and will indicate when a limit is reached.
- We continually improve the Service and may add, change, or retire features. Where a change materially reduces core functionality of your paid plan, we will give reasonable notice.
Territory. The Service is designed for businesses operating in India — its GST, invoicing, payroll, and statutory compliance features are specific to Indian law — and is offered for use in India only. We make no representation that the Service or its outputs are appropriate, accurate, or lawful for use in any other country. If you access the Service from outside India, you do so on your own initiative and are solely responsible for compliance with local laws; these Terms, including Indian governing law and Bengaluru jurisdiction, continue to apply.
3. Free trial
New accounts receive a free trial with full access for the stated trial period, without payment details. At the end of the trial, continued use requires a paid subscription; your data is preserved for a reasonable period so you can subscribe and continue where you left off.
4. Fees, billing, and taxes
- Subscription fees are as published on our pricing page at the time of purchase, are payable in advance for the subscription period, and are exclusive of GST and other applicable taxes, which are added at billing at the rate in force.
- Subscriptions renew for successive periods unless cancelled before renewal. We will communicate renewal in advance.
- We may revise prices; revised prices apply from your next renewal, with prior notice.
- If payment is not received by expiry, a short grace period applies, after which the account is restricted until payment. We do not delete your data merely for late payment.
- Transparent billing. All fees, applicable taxes, and renewal cycles are presented to you before billing. We do not use pre-ticked consents or hidden charges, and any payment or renewal requires your affirmative action. If and when automatic renewal payments are offered, they will follow applicable RBI e-mandate guidelines, including advance notification before debits.
- Refunds and cancellation are governed by our Refund & Cancellation Policy, which forms part of these Terms.
5. Your data
- The business data you enter into the Service belongs to you. You grant us a limited, non-exclusive licence to host, process, transmit, and display it solely to provide and support the Service.
- You are responsible for the accuracy and lawfulness of the data you enter, including having the necessary rights and consents to store information about your customers and employees.
- Keep your own copies. You can export key records at any time, and you agree to export records critical to your business — such as invoices, customer lists, and reports — at regular intervals, and in any case at least monthly and before any major change to your account. We maintain routine backups for service continuity, but backups are a safeguard, not a substitute for your own records, and you remain responsible for keeping your own up-to-date copies of business-critical records.
- Our collection and handling of personal data is described in the Privacy Policy, which forms part of these Terms.
- Data roles and consents. Under applicable data protection laws, including the Digital Personal Data Protection Act, 2023, you act as the Data Fiduciary for the personal data of your customers, staff, and other individuals that you enter into the Service, and TailorBoss acts solely as a Data Processor for that data, processing it on your instructions. You represent and warrant that you have obtained all necessary statutory consents from those individuals before entering their personal data into the Service.
Data modification, erasure, and legal retention. You may modify or update your business records, measurements, and employee data directly through the Service at any time. Upon written request or account cancellation, you may request deletion of your personal data in accordance with the Digital Personal Data Protection Act, 2023 (including Section 12). However, we reserve the right to retain necessary financial, invoicing, and tax transaction records for the periods mandated by applicable Indian tax and statutory accounting laws; such retained records remain protected under the Privacy Policy and are deleted when the retention period ends.
Statutory incident reporting. In the event of a confirmed personal data breach or cyber incident affecting the Service, we will fulfil our statutory reporting obligations to the Indian Computer Emergency Response Team (CERT-In) and notify affected customers in their capacity as Data Fiduciaries, in accordance with applicable laws, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.
6. Compliance is your responsibility — the Service is a tool, not an advisor
Nature of the Service. TailorBoss is a business and order management tool. It helps you record and organise your shop's information and generate documents and reports from it — such as GST invoices, payroll summaries, PF/ESI figures, and TDS records. It is not a compliance service, chartered accountancy service, tax practitioner, legal advisor, or a substitute for any of them, and nothing in the Service constitutes professional, tax, financial, or legal advice. Using the Service does not create any advisor–client relationship between you and us.
Outputs depend entirely on your inputs. Every figure, invoice, report, and calculation the Service produces is computed solely from the data you and your staff enter. We do not verify, audit, or correct your inputs, and incomplete or incorrect entries will produce incomplete or incorrect outputs. You are responsible for reviewing every document and report for accuracy and completeness before relying on it or submitting it anywhere.
Not an authoritative record for government processes. The Service is not connected to, and is not a substitute for, any government portal, filing system, or statutory register. Reports produced by the Service are working aids only; the authoritative record for any government process is what you actually file or maintain through the official channels. Laws, rates, forms, and thresholds change from time to time, and we do not warrant that the Service reflects the latest legal requirements at any given moment.
Consult your professionals. Before filing any return, making any statutory payment, taking any employment or tax decision, or acting on any report or suggestion shown in the Service, you must consult your own qualified professionals — such as your chartered accountant, tax consultant, or labour law advisor. You are solely responsible for your business's compliance with all applicable laws.
No liability for compliance outcomes. To the maximum extent permitted by law, we are not liable for any penalties, interest, fines, losses, or claims arising from tax, payroll, statutory, or other compliance decisions, filings, or omissions — whether or not made using data or documents from the Service.
7. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or to store or transmit unlawful, infringing, or harmful content;
- attempt to access another shop's data or any part of the Service you are not authorised to access;
- probe, scan, disrupt, or overload the Service, or introduce malware;
- copy, resell, sublicense, rent, or provide the Service to third parties as a service bureau;
- reverse-engineer, decompile, or attempt to extract the source code of the Service except to the extent permitted by law; or
- circumvent plan limits, security, or usage restrictions; or
- use any robot, spider, crawler, scraper, script, or other automated means to access the Service or our website, or extract, harvest, or bulk-download data from them — whether for competitive analysis, building a database, training software or models, or any other purpose. This does not restrict you from exporting your own business records using the export features we provide; or
- conduct security scans, vulnerability assessments, penetration testing, or physical or logical audits of our cloud infrastructure, codebase, or systems without our prior express written permission — a necessary restriction to protect the security and privacy of every shop's data on the platform.
Content responsibility. TailorBoss provides a neutral hosted platform for your business records: we do not monitor, verify, select, or modify the content, images, designs, or logos you enter or upload into the Service. You represent and warrant that you own or hold all necessary licences, permissions, and rights for all data, photos, dress designs, customer lists, and trademarks uploaded to your account, and you agree to fully indemnify TailorBoss against any third-party copyright, trademark, or other legal claims arising from your content.
We may suspend accounts engaged in conduct that threatens the security or integrity of the Service, with notice where practicable.
8. Third-party services
The Service interoperates with third-party services — for example, payment providers for billing, WhatsApp for support and sharing, and app stores for distribution of the Android app. Your use of those services is governed by their own terms, and we are not responsible for them.
Use of sub-processors. You grant us general authorisation to engage trusted third-party service providers and sub-processors — such as cloud hosting, database, file-storage, payment processing, and communications infrastructure providers — solely to host, maintain, and deliver the Service. We engage reputable providers whose terms include their own security and data-protection commitments, and we remain responsible to you for the Service as described in these Terms.
Messaging compliance. Where the Service enables sending messages, invoices, or notifications via third-party platforms (such as WhatsApp or SMS), you confirm that all outbound communications are sent with the direct authorisation of the recipient, and you remain solely responsible for compliance with TRAI regulations and applicable anti-spam laws.
9. Intellectual property
The Service, including its software, design, trademarks, and branding, is owned by us and protected by law. These Terms grant you only the right to use the Service while subscribed, and no other rights. Feedback you give us may be used to improve the Service without obligation to you.
10. Availability, support, and data safety
We work to keep the Service available, secure, and reliable, and provide support over WhatsApp, email, and phone during reasonable hours. However, the Service may be temporarily unavailable due to maintenance, updates, hosting or network failures, or events beyond our control (see Section 15), and we do not guarantee uninterrupted or error-free operation. For planned maintenance likely to cause noticeable downtime, we will endeavour to schedule it outside peak business hours and give advance notice of significant windows.
Security safeguards and breach limitations. We implement reasonable technical and organisational security safeguards — including encryption of data in transit, role- and permission-based access controls, tenant isolation, and routine backups — to protect your business data against unauthorised access, loss, or alteration. However, no internet-based service or cloud storage system is 100% immune to security breaches, cyber-attacks, or unauthorised intrusion. To the maximum extent permitted by law, and provided we have maintained reasonable security practices, we are not liable for unauthorised access, hacking, theft, corruption, or destruction of data resulting from cyber-attacks, system compromises, or third-party vulnerabilities beyond our reasonable control; any remaining liability is subject to Sections 12 and 15.
Technical support and maintenance access. To diagnose software defects, resolve data or calculation errors, or assist you with support requests, you grant our authorised technical personnel permission to access and process your account and its data. Such access is restricted to authorised personnel, carried out over secure connections, limited to what is necessary to handle the request or maintain the Service, and treated in accordance with the Privacy Policy.
Reporting defects. If you find a defect, error, or unexpected behaviour in the Service, please report it promptly to support@tailorboss.com (or on WhatsApp), with a description of what happened and, where possible, a screenshot. We will investigate reported issues and use commercially reasonable efforts to address genuine defects in the ordinary course of maintaining the Service. Reporting a defect does not by itself entitle you to any compensation, and prompt reporting helps limit any impact on your records — you agree to report suspected defects without undue delay after discovering them.
System logs and statutory disclosure. For security, fraud prevention, and statutory purposes, we maintain routine system logs, transaction logs, and subscriber registration records. You acknowledge that such logs and records are retained in line with applicable Indian legal requirements, including directions issued under the Information Technology Act, 2000, and may be disclosed to government authorities, including CERT-In, where disclosure is legally mandated.
Backups and data loss. We maintain routine automated backups of Service data as a safeguard. In the event of any loss or corruption of data — including due to server failure, hosting-provider outage, cyber incident, or natural calamity — our sole obligation, and your sole and exclusive remedy, is that we will use commercially reasonable efforts to restore the affected data from the most recent available backup. We cannot guarantee that restoration will be complete or that data entered after the last backup will be recoverable. Temporary unavailability or data restoration under this section does not entitle you to compensation or refunds, and any liability remains subject to Sections 12 and 15. Because backups are a safeguard and not a substitute for your own records, you agree to export records critical to your business (such as invoices and customer lists) at regular intervals, and in any case at least monthly, using the export features provided.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet all your requirements or that all defects will be corrected.
12. Limitation of liability
To the maximum extent permitted by law: (a) our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the subscription fees you paid to us in the 12 months preceding the event giving rise to the claim; and (b) we are not liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, business, goodwill, or data, even if advised of the possibility. Nothing in these Terms limits liability that cannot be limited under law.
13. Indemnity
You agree to indemnify and hold us harmless from claims, damages, and reasonable costs arising from the data you enter into the Service, your breach of these Terms, or your violation of applicable law or the rights of any third party.
14. Suspension and termination
- You may stop using the Service and cancel at any time; see the Refund & Cancellation Policy.
- We may suspend or terminate your account for material breach of these Terms that remains uncured after notice, for unlawful use, or where an account remains unpaid beyond the grace period.
- Data retention and deletion after termination. After cancellation or termination, you may request an export of your key business records within 30 days. After this 30-day window, we may permanently delete your account data, business records, and uploaded files from our active systems, with residual copies in backups removed as those backups expire in the ordinary rotation cycle — except records we are required by law to retain (such as billing and tax records), which are kept and then deleted per the Privacy Policy. After the 30-day window, TailorBoss has no liability or obligation to retain, retrieve, or restore any data. Sections of these Terms that by nature should survive (including data responsibility, intellectual property, disclaimers, limitation of liability, indemnity, and governing law) survive termination.
15. Force majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural events, power or telecom failures, cloud-provider outages, cyber-attacks, government action, or similar events.
16. General
- Entire agreement. These Terms, the Privacy Policy, and the Refund & Cancellation Policy are the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remainder continues in effect.
- No waiver. Our not enforcing a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation or transfer of the business, with notice to you.
- Controlling language. These Terms are drafted in the English language. Any version of these Terms or related notices translated into other languages (including languages listed in the Eighth Schedule of the Constitution of India) is provided solely for convenience; in the event of any conflict or ambiguity, the English version prevails and governs.
- Notices. We may give notices in the app, by message to your registered mobile number, or by email; you may give notice to support@tailorboss.com.
17. Governing law, dispute resolution, and jurisdiction
Governing law. These Terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes), are governed by and construed in accordance with the laws of India.
Talk to us first. Before initiating any legal proceedings, you agree to first raise the dispute with us in writing at support@tailorboss.com and give us 30 days to resolve it in good faith. Most issues are resolved this way, quickly and without cost to either side.
Exclusive jurisdiction. Subject to the above, the courts at Bengaluru, Karnataka, India shall have sole and exclusive jurisdiction over all disputes, claims, or proceedings arising out of or relating to these Terms or the Service — whether in contract, tort, statute, or otherwise — irrespective of where you are located or from where you access the Service. You irrevocably consent to the jurisdiction of the courts at Bengaluru and waive any objection to those courts on grounds of venue or inconvenient forum. Nothing in this section limits either party's right to seek urgent injunctive relief where necessary to protect data or intellectual property.
18. Changes to these Terms
We may update these Terms from time to time. The current version will always be available at this page with its effective date; for significant changes we will notify you in the app or by message. Continued use of the Service after changes take effect constitutes acceptance.
19. Contact and Grievance Officer
Grievance redressal. In accordance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, if you have any questions, legal notices, or privacy complaints regarding the Service, please contact our designated grievance contact. Mark your message "Grievance" and we will acknowledge and respond within the timelines required by applicable law.
